4. Misrepresenting your identity, age, or affiliations.

Despite our efforts to safeguard your data and maintain system integrity, we cannot guarantee absolute security. Users are responsible for protecting their credentials and implementing appropriate security measures on their end

8.0 Eligibility and Access

You must be at least 18 years old to access or use our services. By using our platform, you affirm that you meet this age requirement and have the legal capacity to enter into a binding agreement.

9.0 Account Creation and Usage

To access certain features, users must apply for a merchant account by submitting necessary information to our onboarding team. Applications are subject to compliance approval. Users are responsible for safeguarding account credentials and must ensure all provided information is accurate and up to date.

10.0 Intellectual Property

All content and services are the sole property of Bobplus Africa Limited. Reproduction or redistribution of any materials without prior written permission is strictly prohibited. All rights remain exclusively with Bobplus Africa, under all applicable jurisdictions.

11.0 Indemnity

You agree to defend, indemnify, and hold harmless Bobplus Africa Limited, its affiliates, directors, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses—including, without limitation, reasonable legal and accounting fees—arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

You may only use the services provided by Bobplus Africa Limited for lawful purposes. You agree not to:

• Use the services in a way that is fraudulent, misleading, or harmful;

   

• Interfere with or disrupt the security or performance of the services;

Bobplus Africa Limited does not control or endorse any third-party content and is not responsible for any issues arising from their use. To the maximum extent permitted by law, Bobplus Africa Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from:

1. Your use or inability to use the services;

    

2. Unauthorized access to or use of your account or data;

    

3. Any conduct or content of any third party on the service.

    

16.0 Modification of Terms

We may update or change these Terms at any time. When changes are made, we will revise the “Last Updated” date at the top of the Terms. Continued use of the services after changes become effective constitutes your acceptance of the new Terms.

17.0 Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, all rights granted to you under these Terms will immediately cease.

18.0 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Nairobi, Kenya.

 19.0 Confidentiality

You agree not to disclose any confidential information you may gain access to while using our services. This includes, but is not limited to, business practices, trade secrets, technical data, and client information, unless such disclosure is required by law.

20.0 Dispute Resolution

In the event of any dispute, the parties agree to attempt to resolve the issue amicably through negotiation. If a resolution is not reached, the dispute shall be submitted to arbitration in Nairobi, Kenya, under the rules of the Chartered Institute of Arbitrators (Kenya Chapter).

21.0 Waiver

The failure of Bobplus Africa Limited to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to in writing.

23.0 Rolling Reserve

We may establish a rolling reserve—an amount withheld from your account—to manage potential risks such as chargebacks or refunds. Details of the reserve (percentage, duration) will be communicated during account onboarding or via written notice.

24.0 Settlement of Funds

Settlement of funds from processed transactions shall occur in accordance with our settlement schedule, typically within [insert agreed time frame] business days, unless otherwise agreed upon.

25.0 Chargebacks

You are responsible for all chargebacks related to your merchant account. In case of a chargeback, we will deduct the disputed amount from your account. You may provide evidence to dispute the chargeback, but the decision rests with the issuing bank.

26.0 Refunds

You are responsible for setting your refund policies and communicating them clearly to your customers. Bobplus Africa Limited reserves the right to deduct refunded amounts from your account and charge processing fees as applicable.

27.0 Anti-Corruption

You shall comply with all applicable anti-corruption laws and regulations. You agree not to engage in any corrupt practices or offer, promise, or give anything of value to influence a public or private official in connection with the services.
